Audit Aware Acceptable Use Policy

Last updated September 16, 2026

This Acceptable Use Policy ("AUP") describes activities that are prohibited when accessing or using the website https://www.auditaware.com (the "Website") and the Audit Aware web application and related services (together with the Website, the "Services") operated by Reason Consulting Corporation, 2820 Selwyn Ave, STE 856, Charlotte, NC 28209, United States ("Company," "we," "us," or "our").

This AUP is incorporated into and forms part of the Audit Aware Terms and Conditions (the "Terms") and applies to the Customer and to its Authorized Users. In this AUP, "you" means the Customer and, where the context concerns conduct while using the Services, each Authorized User; an Authorized User is not a party to the Terms and incurs no personal obligation under this AUP beyond complying with it while using the Services. Capitalized terms used but not defined here, including "Services," "Content," "Customer Data," "Authorized Users," and "Ordering Document," have the meanings given in the Terms. In the event of a conflict, the order of precedence stated in Section 24 of the Terms applies: (1) a signed written agreement or accepted Ordering Document; (2) the Terms and Conditions; (3) the End User License Agreement; and (4) this AUP and our other posted policies.

1. Purpose and Relationship to the License

The Services exist to help government tax, assessment, and revenue offices identify, prioritize, and manage audit and discovery cases. This AUP is meant to protect the Services, the confidential taxpayer and business records they hold, and the other customers who rely on them. It is not meant to interfere with the work the Services are licensed for.

Nothing in this AUP prohibits any use expressly licensed under Section 2 of the Terms, the End User License Agreement, or your Ordering Document. In particular, this AUP does not prohibit:

  • using the Services in the ordinary course of your governmental functions, including audit, assessment, discovery, collection, and compliance work performed for the constituents and jurisdictions you serve, whether by your employees or by contract auditors and other service providers you have engaged and provisioned as Authorized Users;
  • uploading, importing, or bulk-loading records through interfaces, integrations, or tools that we provide or approve in writing, including records concerning taxpayers and businesses within your jurisdiction and official duties;
  • processing records concerning taxpayers, businesses, and properties that you do not own but are authorized by law to hold and use;
  • retrieving, exporting, copying, and storing your own Customer Data and the outputs generated from it;
  • an Authorized User, or the organization that employs an Authorized User, performing audit, discovery, assessment, collection, valuation, or related professional services for any government entity, applying the professional judgment, skill, and experience gained in performing them, or evaluating products for the Customer's own procurement purposes.

Exceeding your tier's data input or Case Manager license limits is addressed under Section 6 of the Terms and is not by itself a violation of this AUP.

2. Prohibited Activities

When accessing or using the Services, you and your Authorized Users will not:

Access and credentials

  • share, transfer, or allow the use of credentials by anyone other than the Authorized User to whom they were issued;
  • circumvent, disable, or otherwise interfere with security-related features of the Services, including features that prevent or restrict use or copying of Content or enforce license limits;
  • attempt to impersonate another user or person, or use the username or credentials of another user;
  • attempt to gain unauthorized access to the Services, other accounts, computer systems, or networks connected to the Services, whether by password mining, exploitation of vulnerabilities, or any other means.

Data and confidentiality

  • access, use, or disclose Customer Data, or any taxpayer or business information within the Services, other than as authorized by your official duties and applicable confidentiality law;
  • upload or submit records that you are not authorized by law to hold, process, or disclose to a service provider;
  • use the Services, or any information obtained from them, to harass, abuse, threaten, or unlawfully discriminate against any taxpayer, business, or individual;
  • use the Services to collect or process information about individuals for any purpose other than the governmental functions for which the Services are licensed;
  • systematically retrieve data or other content from the Services, other than your own Customer Data and outputs, to create or compile a collection, compilation, database, or directory without our written permission.

System integrity

  • upload or transmit, or attempt to upload or transmit, viruses, trojan horses, or other material, including automated requests in excess of any published rate limits, that interferes with any party's uninterrupted use of the Services or that modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Services;
  • upload or transmit any material that acts as a passive or active information collection or transmission mechanism, including clear graphics interchange formats, 1x1 pixels, web bugs, cookies, or similar devices, other than through functions we provide;
  • use any automated system, including robots, scrapers, offline readers, or scripts, to access the Services other than through interfaces, integrations, or tools that we provide or approve in writing, or to harvest information about other users;
  • interfere with, disrupt, or create an undue burden on the Services or the networks or services connected to them;
  • use the Services in a manner inconsistent with any applicable law or regulation, including laws governing the confidentiality of tax information and the privacy of personal information.

Intellectual property and reverse engineering

  • copy, adapt, or create derivative works of the Services' software, including its HTML, JavaScript, code, models, or scoring methods, except as expressly permitted by the End User License Agreement or applicable law;
  • decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Services, except to the extent applicable law expressly permits it notwithstanding this restriction;
  • delete or alter the copyright or other proprietary rights notices from any Content;
  • use the Content, or the non-public source code, models, or scoring methods of the Services, to build, train, or benchmark a competing software product, or sell, resell, or otherwise commercialize access to the Services other than as licensed;
  • frame or link to the Services in a manner that misrepresents your relationship with us, or use our Marks without our written permission.

Conduct

  • make improper use of our support services or submit false reports of abuse or misconduct;
  • engage in any unauthorized framing of or linking to the Website, or trick, defraud, or mislead us or other users, especially in any attempt to learn sensitive account information such as user passwords;
  • misrepresent your relationship with us or the source or capabilities of the Services to any third party.

3. Reporting and Enforcement

Please report suspected violations of this AUP, security vulnerabilities, or unauthorized access to contact@reason.consulting. We will not pursue action against a person solely for reporting in good faith a vulnerability encountered in ordinary use. Security testing of the production Services is not authorized without our prior written agreement; contact us to arrange authorized testing.

We may investigate suspected violations of this AUP, subject to the confidentiality obligations in Section 8 of the Terms. Where we determine that a violation has occurred, we may take the actions described in Section 11 (Services Management) and Section 14 (Term and Termination) of the Terms, including, for paying Customers, written notice and a thirty (30) day opportunity to cure, and immediate suspension where reasonably necessary to address a security threat, unlawful use, or a violation that threatens the Services or other customers. We will restore access promptly once the condition is resolved. Where a violation is committed by an individual Authorized User rather than by your organization, we will where practicable work with your designated administrator to address it at the user level rather than suspending your organization's access.

4. Government Users

Where the Customer is a federal, state, or local government entity, Section 27 of the Terms applies to this AUP, and nothing in this AUP waives any sovereign or governmental immunity available to the Customer. No enforcement action under this AUP will restrict the Customer's ability to export Customer Data, and this AUP does not restrict any disclosure the Customer makes under its public records or open meetings laws or any statement by the Customer's officials in the performance of their duties.

5. Changes to This Policy

We may revise this AUP on the same notice and with the same renewal-term protection stated in the Terms: at least thirty (30) days' notice of any material change, and for Customers with a paid subscription or an Ordering Document, no material change applies until the start of the next renewal term unless you agree earlier or the change is required by law.
